Terms of Service

Agreement to Terms

By installing and using DRP through any supported point-of-sale (POS) platform or app marketplace, you ("Merchant", "you", "your") agree to these Terms of Service with Vero, LLC ("DRP", "we", "us", "our").

If you do not agree to these Terms, do not install or use DRP.

Service Description

DRP is an open protocol and service that:

  • Integrates with multiple POS systems via official APIs and webhooks
  • Automatically generates encrypted digital receipts for transactions
  • Delivers encrypted receipts to customers' banking applications
  • Uses end-to-end encryption to protect customer privacy
  • Operates as free software for merchants across all supported platforms

Supported POS Systems

DRP currently integrates with:

  • Square
  • Toast
  • Clover
  • Shopify
  • SpotOn
  • Stripe Terminal
  • Additional platforms (see https://digitalreceiptprotocol.org/integrations)

We may add or remove POS integrations with notice.

Merchant Obligations

Account Requirements

You must:

  • Maintain a valid account in good standing with your chosen POS provider(s)
  • Provide accurate business information
  • Comply with all applicable laws and regulations
  • Properly secure your POS API credentials
  • Use DRP only for legitimate business purposes
  • Comply with your POS provider's terms of service

Prohibited Uses

You may not:

  • Use DRP for illegal activities or fraud
  • Attempt to reverse engineer, decrypt, or bypass security measures
  • Interfere with or disrupt DRP operations
  • Violate customer privacy rights or data protection laws
  • Access or attempt to access customer private keys
  • Resell, redistribute, or sublicense DRP without written permission
  • Use DRP in a manner that violates any POS provider's terms of service
  • Use DRP to process fake or fraudulent transactions

Service Provision

Availability

We strive for 99.9% uptime across all POS integrations but make no guarantees regarding:

  • Uninterrupted or error-free service
  • Specific response times or performance
  • Compatibility with all POS systems or versions
  • Future availability of specific integrations

Service Changes

We reserve the right to:

  • Modify features and functionality
  • Update encryption protocols and technical requirements
  • Add or remove POS system integrations
  • Change system requirements
  • Temporarily suspend service for maintenance
  • Discontinue service for specific POS systems (with 30 days notice)
  • Discontinue entire service (with 60 days advance notice)

POS System Updates

POS providers may update their APIs or terms. We will make commercially reasonable efforts to maintain compatibility, but cannot guarantee uninterrupted service during POS platform changes.

Beta Features

Some POS integrations or features may be in beta. Beta features:

  • May change without notice
  • May contain bugs or errors
  • Are provided "as is" without additional warranties
  • May be discontinued at any time

Data & Privacy

All data handling is governed by our Privacy Policy.

Key points:

  • You own your merchant data
  • We process data only as necessary for service delivery
  • Customer receipt data is encrypted end-to-end
  • We cannot decrypt customer receipts (customers hold private keys)
  • We do not sell data to third parties
  • Different POS integrations may have different data flows

POS System Integration

Authorization

By installing DRP through a POS app marketplace or connecting your POS account, you authorize us to:

  • Receive webhook notifications from your POS system
  • Access transaction data via POS APIs
  • Store OAuth tokens securely
  • Retrieve line-item details for receipt generation

POS Provider Terms

You must comply with your POS provider's terms of service. DRP does not replace or supersede your agreement with any POS provider. Violations of POS terms may result in termination of DRP service.

Multiple POS Systems

If you use DRP with multiple POS systems:

  • Each integration operates independently
  • Data is not shared between POS systems
  • You must authorize each integration separately
  • Termination of one integration doesn't affect others

Revocation

You may revoke DRP's access to any POS system at any time by:

  • Uninstalling DRP from the POS app marketplace
  • Revoking OAuth authorization in your POS dashboard
  • Contacting legal@digitalreceiptprotocol.org

POS Provider Changes

If your POS provider:

  • Changes their API terms or access
  • Discontinues API access
  • Blocks third-party integrations
  • Changes their pricing

We are not responsible for resulting service interruptions. We will make reasonable efforts to find alternative integration methods.

Intellectual Property

Open Protocol

DRP protocol specifications are open source and available at https://github.com/digitalreceiptprotocol.

Service Marks

"Digital Receipt Protocol", "DRP", and related marks are owned by Vero, LLC. POS system names and marks are owned by their respective companies.

Your Content

You retain all rights to your business data and transaction information.

Fees & Payment

DRP is currently free for merchants across all POS integrations. There are no:

  • Setup fees
  • Monthly subscription fees
  • Transaction fees
  • Integration fees
  • Per-POS fees

We reserve the right to:

  • Introduce paid premium features in the future
  • Charge for enterprise support or custom integrations
  • Charge for certain POS integrations (with 90 days advance notice)
  • Provide 90 days advance notice before charging existing users

Free tier will remain available for basic functionality.

Termination

By You

You may terminate at any time by:

  • Uninstalling DRP from your POS app marketplace(s)
  • Revoking OAuth authorization in your POS dashboard
  • Contacting legal@digitalreceiptprotocol.org to request account deletion

By Us

We may suspend or terminate your access for:

  • Violation of these Terms
  • Violation of POS provider terms
  • Illegal activity or fraud
  • Abuse of service or resources
  • Non-payment (if paid features introduced)
  • Technical or security reasons
  • Request from POS provider, bank, or law enforcement
  • Excessive chargebacks or dispute rates

Effect of Termination

Upon termination:

  • Your access ends immediately for all POS integrations
  • We may delete your merchant data per retention policy
  • Encrypted customer receipts may be retained as required by banking partners
  • Backup copies may persist for up to 30 days
  • POS integrations are automatically revoked

Disclaimers

AS-IS Service

DRP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The service will be uninterrupted or error-free
  • All POS integrations will work at all times
  • Defects will be corrected
  • The service is free of viruses or harmful components
  • Results will meet your requirements
  • POS providers will continue API access

Third-Party Services

We integrate with POS systems (Square, Toast, Clover, Shopify, etc.), banking institutions, and cloud providers. We are not responsible for:

  • Their services, availability, or policies
  • Their API changes or deprecations
  • Their terms of service changes
  • Their fees or pricing changes
  • Their data handling practices

No Guarantee of Results

We do not guarantee that DRP will:

  • Reduce chargebacks or disputes by any specific amount
  • Increase customer satisfaction
  • Comply with specific industry regulations in your jurisdiction
  • Work with all versions of all POS systems
  • Continue to support any specific POS system indefinitely

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VERO, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, or business opportunities
  • Data loss or corruption
  • Service interruptions or downtime
  • POS integration failures or incompatibilities
  • Costs of substitute services
  • Reliance on service availability
  • Changes or termination by POS providers

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • $100 USD, OR
  • Amounts paid to us in the preceding 12 months (currently $0)

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Vero, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use or misuse of DRP with any POS system
  • Your violation of these Terms
  • Your violation of any POS provider's terms
  • Your violation of applicable laws or regulations
  • Your violation of third-party rights
  • Your business activities or merchant practices
  • Your transactions processed through POS systems

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Informal Resolution

Before filing a claim, you agree to contact us at legal@digitalreceiptprotocol.org to attempt informal resolution for at least 30 days.

Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Exceptions to arbitration:

  • Small claims court actions (under $10,000)
  • Intellectual property disputes
  • Injunctive or equitable relief

Class Action Waiver

You waive the right to participate in class actions, class arbitrations, or representative proceedings.

Jury Trial Waiver

You waive the right to a jury trial.

General Provisions

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Vero, LLC regarding DRP.

Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

We may assign these Terms. You may not assign without our prior written consent.

Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, war, terrorism
  • POS provider API changes or shutdowns
  • Cloud service provider outages
  • Internet or telecommunications failures

Relationship

These Terms do not create a partnership, joint venture, employment, or agency relationship.

Updates to Terms

We may update these Terms with notice via:

  • Email to registered merchants
  • In-app notification (where applicable)
  • Prominent notice on digitalreceiptprotocol.org
  • Updated "Last Updated" date

Material changes take effect 30 days after notice. Continued use constitutes acceptance.

DRP uses open source software. For attributions and licenses, see: https://digitalreceiptprotocol.org/licenses

POS integrations may use additional libraries. See integration-specific documentation for details.

By using DRP with any POS system, you acknowledge you have read, understood, and agree to be bound by these Terms of Service.
